Service

By accessing or using the talvospheresolution platform, websites, and related services (collectively, the "Services") provided by GRASS NOOK LLC ("GRASS NOOK LLC," "we," "our," or "us"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms. If you do not agree to these Terms, you may not access or use the Services.

To access certain features of the Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account, including activity by the team members you invite. You must notify us immediately of any unauthorized use of your account.

talvospheresolution is a programmatic advertising platform. Depending on your plan, the Services let you plan and manage campaigns, target audiences, manage and rotate creative, serve ads across channels, and measure performance through reporting and attribution. The specific features available to you depend on your subscription plan and may be modified, updated, or discontinued at our discretion with reasonable notice.

You agree to use the Services only for lawful purposes and in line with our Advertising Policy. You agree not to: (a) upload or run content that is unlawful, deceptive, or infringes the rights of others; (b) circumvent usage limits, security controls, or access controls; (c) reverse engineer, decompile, or disassemble any aspect of the Services; or (d) use the Services to build a competing product. You are responsible for the campaigns you launch and the audiences you activate.

The Services are offered on a subscription basis, priced per seat and billed in advance for the billing period you select (monthly or annual). A seat is assigned to a named user on your account. You may add or remove seats during a billing period; changes are reflected in the next billing cycle. Subscriptions renew automatically for the same period unless cancelled as described in our Refund Policy.

Fees for the Services are set out in your subscription agreement or on our pricing page. Unless otherwise stated, fees are quoted in United States Dollars (USD). Cancellations and refunds are governed by our Refund Policy, which forms part of these Terms. We may change our fees upon thirty (30) days' notice. You are responsible for any taxes associated with your subscription.

GRASS NOOK LLC and its providers retain all right, title, and interest in and to the Services, including all intellectual property rights therein. These Terms do not grant you any right to use our trademarks, logos, or branding without prior written consent. You retain ownership of the campaign data and creative you provide. Any feedback or suggestions you give us regarding the Services may be used by us without obligation or compensation.

Each party agrees to protect the confidential information of the other party using the same degree of care it uses to protect its own confidential information, and in no event less than reasonable care. Confidential information includes business plans, campaign strategy, pricing, and customer data. This obligation survives termination of these Terms.

The parties shall comply with applicable data-protection laws in their handling of personal data. To the extent that we process personal data on your behalf, the terms of our Data Processing Agreement shall apply. Our Privacy Policy describes how we collect, use, and protect information.

You agree to indemnify, defend, and hold harmless GRASS NOOK LLC and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses arising out of or related to: (a) your violation of these Terms; (b) your use of the Services; (c) the campaigns and content you run; or (d) your violation of applicable laws or the rights of third parties.

Either party may terminate these Terms for convenience with thirty (30) days' written notice. We may immediately suspend or terminate your access to the Services if you breach these Terms or if required by law. On termination, your right to use the Services ceases and we will delete your data in line with our retention practices and Privacy Policy.

We may update these Terms from time to time to reflect changes to the Services or applicable law. When we make material changes, we will update the "Last Updated" date above and, where appropriate, provide notice through the Services or by email. Your continued use of the Services after an update means you accept the revised Terms.
